1. Agreement to Terms

By purchasing or using services provided by Kainode, operated by UserDepth LLC (“Company”, “we”, “us”), you agree to comply with these Terms & Conditions.

If you do not agree, you must discontinue use of our services.

We reserve the right to update or modify these Terms at any time without prior notice.

2. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States.

We may cooperate with lawful requests from government authorities, abuse reporting organizations, and DMCA notices where applicable.

3. Services Provided

We provide:

• Shared Web Hosting
• Virtual Dedicated Servers (VDS)
• Related hosting infrastructure services

We do not monitor or pre-approve client content.

Clients are fully responsible for all data, content, and activity hosted on their account.

4. Acceptable Use Policy

You may not use our services for illegal, harmful, or abusive purposes.

Strictly Prohibited Content

• Child exploitation material (zero tolerance)
• Terrorism-related content
• Fraud, phishing, fake login systems
• Malware, botnets, backdoors
• Carding or hacking tools
• Copyright infringement or pirated software
• Scam or Ponzi schemes

Violation may result in suspension or termination.

5. Activity-Specific Rules

5.1 Shared Hosting

The following are not allowed on shared hosting:

• Bulk email marketing
• Public file-sharing platforms
• Large download repositories
• Cryptocurrency mining
• VPN or proxy services
• Using hosting primarily as backup storage

Shared hosting is designed for normal website usage only.

5.2 VDS (Flexible with Approval)

On VDS plans, the following may be permitted with prior approval and within allocated resources:

• VPN or proxy services
• SMTP / bulk email sending
• File-sharing platforms
• Public download repositories

All such use must:

• Comply with applicable laws
• Not generate spam complaints
• Not cause IP blacklisting
• Not disrupt network stability

Bandwidth and resource limits apply.

We reserve the right to suspend services if approved activities cause abuse complaints or network risk.

6. Email & SMTP Policy

Shared Hosting:

• Unsolicited bulk email is prohibited.
• Purchased mailing lists are not allowed.
• Open mail relays are strictly forbidden.

VDS:

Bulk email services and SMTP servers may be allowed upon approval.

Clients must:

• Maintain clean sending reputation
• Prevent spam complaints
• Avoid header falsification
• Avoid blacklisting events

If IP reputation is severely damaged, service may be restricted.

7. Resource Usage & Fair Usage Policy

Web Hosting resources including CPU, RAM, bandwidth, storage, inodes, and email capacity are shared among users on shared hosting plans.

To maintain stable performance for all customers, accounts that use excessive resources in a way that negatively impacts server performance or other users may be subject to reasonable limitations, upgrade recommendations, or temporary restrictions.

“Unlimited” hosting is subject to fair usage principles and is intended for normal website operations only. It may not be used for:

• Large-scale file sharing platforms
• Video streaming libraries
• Backup archives or offsite storage
• Non-website-related bulk storage purposes

Bulk email sending is not permitted on shared hosting unless pre-approved for legitimate businesses with confirmed opt-in subscribers.

For VDS plans, resource usage is governed by the allocated server specifications. Clients are responsible for ensuring that their applications and services operate within their purchased resource limits.

8. Payments & Billing

All services are prepaid.

Failure to pay invoices may result in:

• Temporary suspension
• Service termination

Custom VDS configurations and setup fees are non-refundable.

Chargebacks initiated without prior communication may result in account termination.

9. Suspension & Termination

We may suspend or terminate services if:

• These Terms are violated
• Illegal activity is detected
• Abuse complaints are received
• Payment is overdue

Upon termination, data may be permanently removed.

10. Backups & Data Responsibility

We may provide backups as a courtesy service.

Clients are fully responsible for maintaining independent backups.

11. Service Availability

We aim to maintain high uptime.

However, we do not guarantee uninterrupted service due to maintenance, network issues, upstream outages, DDoS attacks, or force majeure events.

12. Limitation of Liability

Kainode and UserDepth LLC shall not be liable for business interruption, revenue loss, SEO loss, reputation damage, third-party claims, or indirect damages.

Maximum liability is limited to service fees paid during the last 30 days preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Kainode and UserDepth LLC from claims arising from your hosted content, misuse of services, violation of laws, or intellectual property disputes.

This obligation survives termination.

14. Right to Refuse Service

We reserve the right to refuse or discontinue service to any customer at our reasonable discretion.
